Terms of Service

PLEASE READ THESE TERMS CAREFULLY BEFORE INSTALLING OR USING WARRANTYBRAIN. BY INSTALLING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SERVICE.

1. Definitions

"WarrantyBrain," "we," "us," or "our" means WarrantyBrain, the operator of the WarrantyBrain Shopify application and warrantybrain.io.

"Merchant," "you," or "your" means the Shopify store operator who installs and uses the Service.

"Customer" means the end consumer who submits a warranty claim through your Shopify store.

"Claim Data" means all information submitted in connection with a warranty claim, including order data, customer information, product details, and serial numbers.

"AI Recommendation" means a recommended next step (Replace, Refund, Store Credit, Deny, Request More Information, Return Required, or Escalate) generated by the Service.

2. The Service

2.1 Description

WarrantyBrain provides AI-assisted warranty claims processing that integrates with your Shopify store. The Service reviews incoming warranty claims and generates recommended next steps. By default, WarrantyBrain runs in Review Mode and does not execute Shopify actions unless you approve a claim or explicitly enable eligible automation settings.

2.2 Review Mode (Default for All New Merchants)

By default, all merchants operate in Review Mode. In Review Mode, the Service generates AI recommendations but does not automatically execute any Shopify actions (refunds, replacements, return approvals). You must explicitly approve or deny each claim before any action is taken in your store.

2.3 Auto-Approve Mode

Auto-Approve Mode may be enabled for eligible product categories once the AI has processed a sufficient volume of your reviewed decisions for that category. When explicitly enabled, the Service may execute Shopify actions for claims meeting your configured eligible criteria, without per-claim approval.

3. Authorization and Agency

3.1 Your Authorization

By approving individual claims through the Service (Review Mode) or enabling Auto-Approve Mode, you explicitly authorize WarrantyBrain to act as your limited agent solely for the purpose of executing approved warranty outcomes in your Shopify store. This authorization is strictly limited to:

The Service does not provide legal advice. AI-generated analyses, recommended next steps, and denial reasoning are not legal determinations. Consult qualified legal counsel regarding your warranty obligations.

4. Customer Communications

Emails sent by the Service to Customers (approvals, denials, return instructions) are sent on your behalf, using your store identity. You authorize us to send these communications as your agent. Denial notifications will include your store contact information and a clear path for Customers to appeal or contact you directly. You are responsible for responding to Customer inquiries following claim decisions.

You represent that your warranty policies, as enforced through the Service, comply with applicable consumer protection law, including the Magnuson-Moss Warranty Act (for US sales) and equivalent regulations in other jurisdictions where you sell.

5. Data and Privacy

Your use of the Service is governed by our Privacy Policy, incorporated herein by reference. You are the data controller for your Customers' personal data. We act as your data processor. By using the Service, you consent to Claim Data processing as described in the Privacy Policy, including AI analysis by our sub-processor Anthropic.

You authorize us to use anonymized, de-identified signals from your Claim Data to improve cross-merchant fraud detection. No raw personal data is shared across merchants. We will not use personally identifiable Customer data to train AI models without separate written consent.

6. Fees and Payment

The Free plan (up to 10 Review Mode claims/month) is provided at no charge and does not include customer-impacting Shopify actions. Self-serve paid plans are billed monthly through the Shopify Billing API: Launch Starter $74/mo for the first 3 months of Starter, then Starter $149/mo; Growth $349/mo; Pro $699/mo. Paid plans share the same core WarrantyBrain workflow and differ by monthly claim volume, support priority, setup help, and rollout support. Enterprise supports custom volume terms for Shopify Plus and larger merchants. You may cancel at any time with no penalty — no long-term contracts. If you are dissatisfied within 30 days of your first paid charge, contact us at hello@warrantybrain.io and we will work with Shopify Billing to issue a pro-rated credit or refund. WarrantyBrain reserves the right to modify pricing with 30 days' advance notice.

7. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WARRANTYBRAIN DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WARRANTYBRAIN SHALL NOT BE LIABLE FOR: (A) ANY INCORRECT AI RECOMMENDATION OR AUTOMATED DECISION; (B) ANY CUSTOMER DISPUTE, REGULATORY ACTION, OR CHARGEBACK ARISING FROM A WARRANTY CLAIM DECISION; (C) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM GIVING RISE TO LIABILITY.

8. Indemnification

You agree to indemnify, defend, and hold harmless WarrantyBrain and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your warranty obligations or policies; (c) any violation of these Terms; or (d) any Customer dispute arising from a claim decision you approved or that was auto-approved under your configured settings.

9. Force Majeure

WarrantyBrain will not be liable for delays or failures in performance resulting from events beyond our reasonable control, including: outages of third-party AI or infrastructure providers (including Anthropic, Railway, or Shopify), internet disruptions, natural disasters, or acts of government. We will notify you promptly of any such event and resume performance as soon as reasonably practicable.

10. Intellectual Property

WarrantyBrain retains all rights in the Service, including AI models, fraud detection algorithms, and software. You retain all rights in your store data. You grant us a limited, non-exclusive license to process your store data solely to provide the Service.

11. Term and Termination

These Terms continue until terminated. You may terminate at any time by uninstalling the application. We may terminate with 30 days' written notice, or immediately for material breach, fraudulent use, or violation of Shopify's policies. Upon termination, we will make your Claim Data available for export for 30 days, after which it will be deleted in accordance with our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration under JAMS Streamlined Arbitration Rules, conducted in English, with the seat of arbitration in Delaware. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for intellectual property violations.

13. Changes to Terms

We may update these Terms with 30 days' notice via email or in-app notification. Continued use of the Service after the notice period constitutes acceptance of the updated Terms.
